These Terms of Service ("Terms") form a binding agreement between you and Friend & Finances ("Friend & Finances", "we", "us", or "our"). By creating an account or otherwise using Friend & Finances (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
Friend & Finances is currently available only in the United States and only to people physically located in the United States.
1. Eligibility
You may use Friend & Finances only if all of the following are true:
- You are at least 13 years old. If you are under 18, by using the Service you represent that you have your parent or legal guardian's permission to do so and that they have agreed to these Terms on your behalf.
- You are physically located in the United States.
- You have not previously been suspended or removed from Friend & Finances.
- You are using the Service for personal, non-commercial bill-splitting between people you know in real life.
If you are signing up on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. The Service
Friend & Finances is a tool for tracking the bills you split with friends. The Service:
- Lets you record bills, who was at them, what was ordered, and who owes whom.
- Lets you mark settlements when someone pays back.
- Lets you open Venmo or Cash App with payment details prefilled.
- Lets you send a SMS reminder via Apple's Messages app.
The Service does not:
- Process payments. We never custody funds, hold balances, or route money. All payments happen in third-party apps that you choose to use, and your relationship with those apps is governed by their own terms.
- Send text messages on your behalf. When you tap "Remind," Apple's Messages app opens with the message prefilled; you must tap Send for the message to be sent. The message comes from your phone, not from us.
- Create legal obligations between you and the people you owe or who owe you. Bills you record in the Service are an informal accounting tool. We have no role in enforcing the underlying debts.
3. Your account
You are responsible for keeping your account secure. We use Sign in with Apple or Sign in with Google to authenticate you, plus a one-time SMS code sent to your phone number to verify your phone. You agree not to share your sign-in credentials and to notify us immediately at support@friendsandfinances.app if you suspect unauthorized access.
You are responsible for all activity on your account. If a bill, a settlement, or a friendship was created from your account, we treat it as if you authorized it.
Your username and phone number are locked once you set them. We do this so other users can reliably find you, and so a user can't escape consequences by changing handles. If you need to change either field, contact us — we'll generally accommodate good-faith requests but reserve the right to decline.
4. Guests and friends
When you add someone to a bill as a guest (a person who isn't on Friend & Finances), you create a guest profile under your account. You're responsible for the accuracy of any guest information you enter, including any phone number you record for them. If the guest later joins Friend & Finances using that phone number, their guest profile is claimed and merged into their real account; from that point on, they own and manage that profile.
You agree not to add a guest profile for a real person who has asked you not to.
5. The information you put into Friend & Finances
When you create bills, line items, friendships, settlements, or other records, you grant Friend & Finances a non-exclusive, royalty-free, worldwide license to host, transmit, and display that content solely for the purpose of operating the Service for you and the other people you share it with. We do not claim ownership of your content.
The other people on a bill can see the bill you share with them — that's the point. Once a bill is shared, you cannot retract the other party's copy by deleting your account.
6. Payments and disputes between users
Friend & Finances does not process payments. When you tap "Settle" or send a Venmo/Cash App request, you are using a third-party service. Disputes about whether a payment was sent, received, or correctly amounted are between you and the other party, and if necessary between you and the third-party payment service. We are not a party to those disputes and we don't have records of payments made outside Friend & Finances.
If someone owes you money according to your in-app records and refuses to pay, that's a personal dispute. Friend & Finances will not collect on your behalf. We are not a debt collector, do not perform any debt-collection activity, and the Fair Debt Collection Practices Act does not apply to our activity.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, including fraud, money laundering, or to facilitate any transaction that violates U.S. law.
- Impersonate another person.
- Harass, threaten, defame, or send abusive content to anyone through the Service.
- Use the reminder feature to send harassing, threatening, or repeated messages to someone who has asked you to stop.
- Use the Service to send spam, marketing, advertising, or any unsolicited commercial communication.
- Reverse-engineer, decompile, or attempt to extract source code from the app, except to the extent applicable law expressly permits despite this restriction.
- Use automated means (bots, scripts, scrapers) to access the Service or to create accounts.
- Attempt to bypass our rate limits, security features, or content moderation.
- Create more than one account for yourself, or create an account on behalf of another adult without their explicit permission.
- Use the Service to commit, prepare for, or facilitate any criminal activity.
We may suspend or terminate your account if you violate these rules, at our reasonable discretion.
8. Reporting and blocking other users
You can report another user from their profile card if you believe they have violated these Terms. We review reports and take action as we determine appropriate, which may include warning the user, suspending or terminating their account, or removing content. We aim to respond to reports within 24 hours but do not guarantee a response time.
You can also block another user, which hides them from your view in the app. Blocking is symmetric — the blocked user can no longer see you either. You can unblock a user later from your profile settings.
9. Service availability
We provide the Service "as is." We do not guarantee that the Service will be uninterrupted, error-free, or available at any specific time. We may modify, suspend, or discontinue the Service or any feature at any time. We are not liable for any consequence of unavailability, lost data, or feature changes.
You should treat Friend & Finances as a record-keeping convenience, not as a source of truth for legal or financial decisions. We recommend keeping your own records of any bills or settlements that matter to you.
10. Privacy
Our Privacy Policy explains how we collect and use your information. By using Friend & Finances you agree to our handling of your information as described there.
11. Apple's End User License Agreement
If you download Friend & Finances through the Apple App Store, you also agree to be bound by Apple's Licensed Application End User License Agreement (the "Apple Standard EULA"). To the extent these Terms conflict with the Apple Standard EULA, these Terms govern except where the Apple Standard EULA expressly takes precedence.
You acknowledge that:
- The license to use Friend & Finances is granted by us, not Apple. Apple has no obligation to provide maintenance or support for Friend & Finances.
- We, not Apple, are responsible for addressing any claims you have relating to Friend & Finances, including product warranty claims, claims that the app fails to conform to legal requirements, and product liability claims.
- We, not Apple, are responsible for the investigation, defense, settlement, and discharge of any third-party intellectual-property claim that Friend & Finances infringes that third party's intellectual property rights.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them directly against you.
12. Intellectual property
Friend & Finances, including the application, its branding, and all software, is owned by Friend & Finances and is protected by copyright, trademark, and other laws. You receive a non-exclusive, non-transferable, revocable license to use Friend & Finances for personal, non-commercial purposes as long as you comply with these Terms.
You retain ownership of the content you submit (bill names, item descriptions, etc.), subject to the license you grant us in Section 5.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or its servers are free of viruses or other harmful components. The accuracy of bill amounts, who owes whom, settlement statuses, and IOU records depends entirely on what users enter; we do not verify any of it.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FRIEND & FINANCES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).
Some states do not allow the exclusion or limitation of certain damages, so portions of these limitations may not apply to you. In those states, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify and hold harmless Friend & Finances and its operators, contractors, and agents from any claim, demand, damages, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including any other user; or (d) any content you submit to the Service.
16. Governing law
These Terms are governed by the laws of the State of [YOUR STATE], without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
17. Dispute resolution and arbitration
NOTICE: This section requires you to resolve disputes with us through individual arbitration and limits your ability to bring claims in court or as part of a class action. Please read it carefully. If you do not want to be bound by it, you must not use the Service.
Informal resolution first. Before filing arbitration, you agree to first contact us at support@friendsandfinances.app and give us 60 days to resolve the dispute informally.
Binding arbitration. Any dispute that we cannot resolve informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in [YOUR STATE] or via telephone or video at the arbitrator's discretion. Each side will be responsible for its own attorneys' fees unless applicable law provides otherwise.
Class-action waiver. You and Friend & Finances each agree to bring claims only in your or its individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.
Small-claims carve-out. Either party may bring a qualifying claim in small-claims court instead of arbitration, so long as the claim stays in that court and proceeds only on an individual basis.
IP carve-out. Disputes about intellectual-property rights (yours or ours) may be brought in court.
Opt-out. You may opt out of this arbitration agreement by emailing support@friendsandfinances.app within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out." Opting out will not affect any other part of these Terms.
18. Termination
You can terminate your account at any time by going to Edit Profile → Delete Account. We can terminate or suspend your account at any time for any reason or no reason, with or without notice, but we will generally provide notice when reasonably feasible. Sections that by their nature should survive termination (including Sections 5, 11, 13, 14, 15, 16, 17, and 20) will survive.
19. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top and, for material changes, require you to acknowledge the new version the next time you open the app. Continued use after the new Terms take effect means you agree to them.
20. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, form the entire agreement between you and Friend & Finances regarding the Service.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the rest will remain in full force and effect.
- No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to a successor in a merger, acquisition, or sale of substantially all of our assets.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
- Notices. We may provide notices to you in the app, by email, or by posting on our website. You will provide notices to us at support@friendsandfinances.app.
